Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Kova Network platform. These Terms constitute a legally binding agreement between you and Kova Network ("Kova," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By connecting your wallet, creating deployments, or otherwise accessing the Kova Network platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

2. Description of Service

Kova Network is a decentralized compute marketplace that connects users seeking computing resources ("tenants") with individuals and organizations offering computing capacity ("providers"). The platform facilitates:

  • Container-based workload deployment on distributed infrastructure
  • Provider discovery and bidding on deployment orders
  • Escrow-based billing and payment settlement
  • Deployment management, monitoring, and lifecycle operations

Kova operates as a marketplace facilitator. We do not own or operate the compute infrastructure. Providers are independent operators responsible for the hardware and services they offer through the platform.

3. User Accounts

Accounts on Kova are tied to your Web3 wallet address. You are responsible for maintaining the security of your wallet and private keys. We are not responsible for unauthorized access resulting from compromised wallet credentials.

You agree to:

  • Provide accurate information when requested
  • Maintain the security of your wallet and authentication credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Provider Terms

If you operate as a provider on the Kova Network, you additionally agree to:

  • Accurately represent the computing resources available on your infrastructure
  • Maintain reasonable uptime and performance for accepted deployments
  • Isolate tenant workloads using containerization and not access tenant data except as required for operational purposes
  • Comply with applicable laws regarding data handling and computing services in your jurisdiction
  • Not deliberately interfere with, modify, or inspect tenant workloads beyond what is operationally necessary

Providers who consistently fail to meet service standards, misrepresent their resources, or violate these Terms may have their provider status revoked.

5. Billing and Payments

The Kova Network uses an escrow-based billing system. When you create a deployment:

  • You deposit funds into an escrow account associated with the deployment
  • Providers are paid incrementally from the escrow while your deployment is active
  • A platform fee (currently 20%) is deducted from payments to providers
  • Remaining escrow funds are returned to your account when a deployment is closed

Deposits are made using supported cryptocurrencies. Once deposited, funds are available as platform credits. All prices displayed on the platform are in USD equivalents.

Refunds for unused escrow are processed automatically upon deployment closure. We are not responsible for losses due to cryptocurrency price fluctuations between deposit and withdrawal.

6. Prohibited Use

You agree not to use the Kova Network to:

  • Violate any applicable local, national, or international law or regulation
  • Distribute malware, viruses, or other harmful software
  • Conduct distributed denial-of-service (DDoS) attacks or other network abuse
  • Mine cryptocurrency without the explicit consent of the provider (unless the deployment is specifically marketed for mining)
  • Host, store, or distribute child sexual abuse material or other illegal content
  • Infringe on the intellectual property rights of others
  • Attempt to gain unauthorized access to other users' deployments or provider infrastructure
  • Manipulate the marketplace through fake bids, sybil attacks, or other fraudulent activity
  • Circumvent platform fees, rate limits, or other protective measures

Violations may result in immediate termination of your account, forfeiture of funds, and reporting to relevant authorities.

7. Intellectual Property

The Kova Network platform, including its design, software, documentation, and branding, is the intellectual property of Kova Network. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain all rights to the content and code you deploy on the network. Kova does not claim ownership of your workloads, data, or intellectual property.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We specifically disclaim:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Guarantees of uptime, availability, or performance of any specific provider
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Responsibility for the actions, omissions, or reliability of third-party providers

The decentralized nature of the platform means that providers operate independently. We cannot guarantee the quality, reliability, or security of any individual provider's infrastructure.

9. Limitation of Liability

To the maximum extent permitted by law, Kova Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Downtime or service interruptions caused by provider failures
  • Losses resulting from cryptocurrency price volatility
  • Unauthorized access to or alteration of your deployments by providers
  • Any damages arising from your use of or inability to use the Service

Our total aggregate liability to you for all claims shall not exceed the total amount you have paid to Kova Network in the twelve (12) months preceding the claim.

10. Termination

You may stop using the Service at any time by closing your deployments and disconnecting your wallet. Any unused escrow funds will be returned to your account balance.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms or prohibited use policies
  • Fraudulent or abusive behavior
  • Non-payment or chargebacks
  • Legal or regulatory requirements

Upon termination, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Kova Network.
